علل، اسباب و نوع شناسی اختلافات در قراردادهای نفتی

چکیده

آثار منفی بروز اختلافات بر روابط قراردادی و هزینه‌های طرفین به خصوص در قراردادهای نفتی در حوزه‌ی بالادستی، چگونگی مواجهه با اختلافات را به یکی از دغدغه‌های اصلی سرمایه‌گذاران و طرفین قراردادهای مزبور تبدیل نموده است. پیشگیری از بروز اختلافات یکی از راهکارهای مؤثر در این زمینه است. این مهم ممکن نیست مگر با شناخت دقیق و تبیین علل و اسباب بروز اختلافات. مطالعه‌ی دعاوی و آراء داوری و قضایی، بروز ریسک‌ها در طول اجرای قرارداد را از اصلی‌ترین علل پیدایش اختلافات معرفی می‌نماید. امری که خود ریشه در ویژگی‌های خاص هر قرارداد دارد. بنابراین شناسایی و تبیین این ویژگی‌ها اولین گام در فرآیند پیشگیری از بروز اختلافات خواهد بود. با تمرکز بر ارکان تشکیل دهنده‌ی یک رابطه‌ی قراردادی، می‌توان گفت عوامل پیدایش اختلاف یا مرتبط با موضوع خاص یک قرارداد یا مربوط به وضعیت خاص طرف‌های آن قرارداد هستند. به بیان دیگر اختلافات قراردادی یا به علل موضوعی ایجاد می‌شوند یا به علل شخصی. بر همین اساس علل بروز اختلافات در قراردادهای بالادستی نفتی را می‌توان ناشی از ویژگی‌های مرتبط با ماهیت این قراردادها به عنوان قراردادهای توسعه‌ی اقتصادی، ویژگی‌های مرتبط با موضوع آن‌ها از جمله ریسک‌ها و عدم قطعیت‌های عملیات نفتی، وسعت مکانی این پروژه‌ها، حساسیت‌های خاص اجتماعی و سیاسی نسبت به صنعت نفت، یا ویژگی‌های ناشی از وضعیت خاص ذینفعان این قراردادها و بازیگران متعدد آن‌ها دانست.

چکیده [English]

The adverse impacts of disputes on performance and economic of petroleum projects as well as the social costs of disputes for the parties necessitate the application of dispute avoidance strategies in petroleum contracts. In this regard, understanding the origins and causes of disputes is of great importance. Studying the disputes arisen out of petroleum contracts identifies that the disputes originate from the nature of petroleum contracts as an Economic Development Agreement (EDA); special features of these contracts or the industry, such as: uncertainties inherent in the exploration, development and production of oil and gas, vast area of the projects, social and political sensitivities toward petroleum industry specially in the oil producing countries, and the multiplicity of the contributors of petroleum contracts. Hence, concentrating on the constituent elements of contracts, disputes are attributed to either the subject matter of a contract or the specific nature of the parties to a contract.
